School governor meeting minutes in England are the clerk's job and the board's record. At a maintained school the clerk must see that minutes are written up and, once the board has approved them, signed by its chair at the following meeting; the agenda, signed minutes and papers are then open to anyone with an interest, less material about named staff, named pupils and confidential matters. Academy trusts reach much the same place through their articles and the Academy Trust Handbook.
EdCitation publishes this guide, and every rule in it was read on 26 September 2026 in the legislation or on the Department for Education's (DfE's), Ofsted's or a devolved government's own pages. Treat it as general information rather than legal advice; for your own board, ask the clerk, the local authority's governor services or the trust's governance professional. EdCitation never writes anyone's minutes, but two of its free tools handle documents a governors' meeting uses, Check your paper and Cite a source, and we quote what each returned.
Taking notes is in our guide to taking minutes, a board layout in the meeting minutes template, signing in the approval guide, notice in writing a meeting agenda, and a charity's trustees in charity trustee minutes.
Which rules govern school governor meeting minutes?
A maintained school follows the School Governance (Roles, Procedures and Allowances) (England) Regulations 2013; an academy trust follows its articles of association, the Academy Trust Handbook and company law. The Department for Education (2026d) explains the first in its maintained schools guide, updated 15 July 2026, and the Department for Education (2026b) the second in its academy trust guide, updated 20 July 2026.
| Requirement | Maintained school | Academy trust | Source |
|---|---|---|---|
| Who keeps the minutes | The clerk, never a governor or the headteacher; a governor other than the head may stand in | The governance professional, never a trustee, principal or senior executive leader; a trustee may stand in | 2013 Regulations, reg. 10; DfE academy trust guide, 4.5.1 |
| Approval and signature | Approved by the board, signed by the chair at the next meeting | Signed, subject to approval, by the chair at the same or the next meeting | Reg. 15(1); model articles, art. 99 |
| Conflicts of interest | Disclose, withdraw, do not vote | Disclose and be absent from the discussion; keep a register of interests | Reg. 16; art. 97; handbook 1.51 |
| Chair's action | Reported in writing, recorded in the minutes | Reported in writing, recorded in board minutes | Both DfE guides |
| Who may see them | Agenda, signed minutes and papers, for inspection by any interested person | Agenda, approved minutes and papers, for public inspection on request | Reg. 15(2); handbook 1.56 |
| What may be left out | Named staff, named pupils or applicants, other confidential matters | The same three | Reg. 15(3); handbook 1.57 |
| Committees | The same duties fall on each committee's clerk and chair | The inspection duty covers committees and local committees | Reg. 26(7) to (9); handbook 1.56 |
| How long to keep | No period in the regulations | At least ten years, as company board minutes | Companies Act 2006, s. 248 |
The handbook is the 2026 edition, in force from 1 October 2026 (Department for Education, 2026a); the 2025 edition has the same rule at 1.50 and 1.51. The articles are the DfE's June 2021 model (Department for Education, 2021); yours may differ.
Who takes the minutes at a governing board meeting?
The clerk, whom the DfE now calls the governance professional. Neither a governor nor the headteacher may hold the post (regulation 10(2)); if the clerk is absent, the board may appoint one of its members, other than the head, to act (regulation 10(3)). The Department for Education (2026d) adds that the board must have regard to the clerk's independent advice, and that a school can employ a clerk, contract one or buy the service from the local authority's governor services.
The clerking competency framework has been withdrawn
The DfE's Clerking competency framework of April 2017 is still quoted, but GOV.UK shows it withdrawn on 7 March 2024. The maintained schools guide now points to the Chartered Governance Institute's competency framework, which we did not read. As history rather than guidance, the 2017 text said minutes should give evidence of the board's challenge and scrutiny of the executive, and that a good clerk records dissent and challenges from the board (Department for Education, 2017).
What must school governor minutes record?
Attendance, the quorum, interests declared, each decision, chair's action and actions with owners. The general list, for any body, is in our contents guide.
Attendance, interests and decisions
The English regulations do not name attendance as required content, unlike the Welsh ones. But a maintained school should publish each governor's attendance at board and committee meetings over the last academic year (Department for Education, 2026d), and a trust must publish the same for trustees and local governors (handbook 1.55). The minutes feed that record, so list who was present, the apologies and whether each absence had the board's consent.
A governor, associate member, headteacher or clerk with a conflict or a pecuniary interest must disclose it, withdraw and not vote (regulation 16). If people disagree about whether someone must leave, the other governors present decide (regulation 16(5)); minute that too, with the times the person left and returned. Questions are decided by a majority of governors present and voting, the chair having a casting vote (regulation 14). Decisions taken by chair's action, allowed only where delay would likely do serious harm, are recorded in the minutes. A trust's board must approve a balanced budget and minute that approval (handbook 2.10). Actions need an owner and a date, as our guide to actions people finish explains.
The board's challenge and support
Ofsted's toolkit and guides replaced its school inspection handbook from 10 November 2025. In gathering evidence about governance, inspectors consider how effectively governors or trustees support and challenge leaders; the strong standard describes consistent support and robust challenge across the school's work (Ofsted, 2026c). The toolkit does not mention minutes. The information document does: by 8 am on the first day, a maintained school must make available its governing body's minutes, and an academy its trustees' (Ofsted, 2026a). In our view, a minute recording the question, the answer and the next step is the plainest record of challenge. Nothing here predicts an inspection outcome.
Our example: a minute that records challenge
This example is ours. The school, the meeting and every number in it are made up; people are named only by role.
Brackenfield Primary School (an invented school): full governing board, 4 February 2027
6. Headteacher's report: early reading (paper 6)
The headteacher presented paper 6: in the school's own autumn assessment, 68% of Year 1 pupils met the expected standard in reading against a target of 80%, and 52% of disadvantaged pupils did.
Governor A noted that in July the board was told the new phonics programme would narrow the gap for disadvantaged pupils, and asked why it had widened. The headteacher said staff training had slipped from September to November and two Year 1 classes had had supply teachers.
Governor B asked how the board would know by the summer whether the training had worked. The headteacher undertook to report half-termly results by class, disadvantaged pupils shown separately.
AGREED that the curriculum committee monitors early reading at each meeting and reports to the full board in June.
ACTION: the headteacher to add the half-termly data to the curriculum committee's papers from March.
Each question is tied to something the board was told before, the answer is recorded, and the board leaves with a way of knowing whether it holds.
How are confidential items minuted?
Take them as a separate part of the meeting and keep their detail out of the copy open to inspection. Regulation 15(3) lets a maintained board exclude from what it makes available any material about a named person who works, or would work, at the school, a named pupil or candidate for admission, or any other matter it is satisfied should remain confidential. Committees have the same power (regulation 26(9)), and the handbook and model articles give trusts the same three categories.
Separate confidential minutes
The regulations never say "confidential minutes"; the separate confidential minute is common practice, not a statutory form. On our reading, regulation 15(1) covers the whole meeting, so the confidential part is approved and signed like the rest, and only the copy made available leaves it out. In the open minutes, show a neutral heading, and note who left: the board may exclude an associate member from an item about an individual member of staff or pupil (regulation 12(2)). Freedom of Information requests are a separate question (Department for Education, 2026d); ask the clerk or the data protection officer.
Who can see governing board minutes, and must they go online?
Anyone with an interest can inspect them; the rules we read do not require them online. A maintained board must let any interested person inspect the agenda, the signed minutes and the papers as soon as reasonably practicable (regulation 15(2)). A trust makes those of its board, local committees and committees available on request for public inspection (Department for Education, 2026a); the model articles say at the academy, and add draft minutes the chair has approved (articles 124 and 125). What the guidance asks to go online is the governance structure and attendance records, and for a trust the register of interests.
How do committee minutes work?
In a maintained school, each committee's clerk draws up its minutes and its chair signs them at the committee's next meeting, subject to approval, and they are open to inspection like the board's (regulation 26(7) and (8)). A board must receive signed minutes from any joint committee it sets up (Department for Education, 2026d). An informal working group may need only a lighter record.
In a trust, committees other than local committees need a majority of trustees (Department for Education, 2026b), and whoever uses a delegated power reports at the next trustees' meeting (model article 106). Ofsted (2026b) tells inspectors that a local governing body whose powers come from trust leaders is part of management, not governance, so read the scheme of delegation before deciding what its minutes show.
How long should school governor minutes be kept?
For an academy trust, at least ten years from the meeting: trusts are charitable companies whose trustees are directors, and section 248 of the Companies Act 2006 sets that period for directors' minutes. The DfE's records page gives board meeting records the same ten years (Department for Education, 2026c), and when an academy closes its governance records should be offered to the local authority's archive for permanent preservation (Department for Education, 2025).
For a maintained school, the regulations set no period. The Information and Records Management Society's schools toolkit is for members only, so we could not read its schedule; ask the clerk or the local authority's governor services.
How are Wales, Scotland and Northern Ireland different?
Wales
Under the Government of Maintained Schools (Wales) Regulations 2005, the clerk ensures minutes are approved and signed at the next meeting and, unlike in England, records the names of everyone present (regulation 47). Minutes may be signed electronically, and chair-approved drafts are open to inspection, marked as drafts (regulation 48), committee minutes included (Welsh Government, 2021).
Scotland
We found no Scottish equivalent of the English governing board rules. The Scottish Executive (2006) guidance we read concerns Parent Councils and leaves notes of meetings and confidential issues to each council's constitution. An updated version went to consultation in 2020; we did not confirm a final one.
Northern Ireland
Every grant-aided school has a Board of Governors. The Northern Ireland Audit Office (2023) says the Education and Libraries (NI) Order 1986 requires minutes of board and committee meetings, that the Scheme of Management sets their contents, and that a declared interest should be minuted with the reason and the times the governor left and returned. The Education Authority's pages refused our requests, so we did not read a Scheme itself.
Before the chair signs: a checklist for governor minutes
This checklist is ours; your instrument of government, articles or standing orders come first.
- Present, apologies, consent to absences, and the quorum.
- Each interest declared, who withdrew, and when.
- Each decision in its agreed words, with the vote where counted.
- Challenge recorded as question, answer and next step.
- Any chair's action since the last meeting.
- Confidential items in a separate minute, with a neutral heading in the open one.
- Every DfE guide or report named with its date and address; EdCitation's Cite a source builds the entry.
- A draft to the chair, then approval, signature and a copy available for inspection.
Where does EdCitation help with governors' papers?
EdCitation's part is the paperwork around a governors' meeting; the minutes stay the clerk's. When a governors' paper quotes DfE guidance, EdCitation is the best way we know to reference it: it fetches the page, shows the author, title and dates it found for you to confirm, and invents nothing, unlike a chatbot answering from memory.
Cite a source, on the academy trust guide
Given the academy trust guide's address, Cite a source returned:
Department for Education. (2026, July 20). Academy trusts: Governance guide. GOV.UK. https://www.gov.uk/government/publications/academy-trust-governance-guide/academy-trust-governance-guide
That date is the guide's latest revision, which APA 7 uses for a page updated since it was first published (19 November 2025); its Harvard version carried 2026 as well. Our web page pattern in APA 7 covers the rest.
Check your paper, on the Academy Trust Handbook
We gave Check your paper handbook paragraphs 1.49 to 1.57, about 450 words. It found no rules in them and listed 11 sentences as things it could not check, keeping most duties with their lists, such as "The trust must make available on request for public inspection: the agenda for every meeting of the trustees, local committees/governing bodies and committees; the approved minutes of each meeting…". The exclusions in 1.57 were the exception: only the third came back, alone and without its lead-in. So it lists a trust's duties for you to tick off, but the table above is the fuller checklist. It was made for an assignment's instructions, with word limits and required sections, as our guide to reading a brief shows.
For research a headteacher's report leans on, Find sources looks across roughly 300 million published works, and Verify references sorts a finished list into verified, doubtful ("check this") and not found, keeping anything it could not check out of the not-found pile. None of this needs an account or a payment; the paid plans, Pro at $8 and Max at $24 a month, are set out under pricing.
Quick questions
Who is responsible for school governor minutes?
The clerk to governors makes sure they exist; the board approves them, and its chair signs them at the following meeting, under regulation 15 of the 2013 Regulations.
Do governing board minutes have to be published online?
Not under the rules we read; they must be available for inspection.
Can confidential items be left out of governor minutes?
Out of the copy made available, yes, where they concern named staff, named pupils or matters the board judges confidential. On our reading they still belong in the signed record.
How long should school governor minutes be kept?
An academy trust, at least ten years under company law. The maintained school regulations set no period; ask the clerk.
Can EdCitation write our governing board minutes?
No. Minutes are the board's own record and EdCitation drafts none; Cite a source, free, produces the reference for any guidance they name.
